These Terms of Service ("Terms") govern your access to and use of the websites scalelabos.ai and app.scalelabos.ai, and any related products, content, or services (the "Services") provided by Scale Lab OS LLC ("Scale Lab OS," "we," "us," or "our").

The Services are intended for business owners, operators, and authorized representatives of businesses. By using the Services you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself and, if applicable, your business.
Some features require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at info@scalelabos.ai if you suspect unauthorized access.

Prices are listed in U.S. dollars and may change at any time. Posted prices apply to new purchases only and do not affect existing subscriptions or completed transactions. Payment is processed through Stripe; their terms apply to the payment portion of the transaction.
Cancel at any time from your account or by emailing us. You will not be charged for any future month after cancellation. No prorated refunds for the current month.
Refundable in full within the first 5 business days of engagement. After that, the work has begun and is non-refundable. If we determine after our initial review that the engagement is not a good fit, we will refund you in full and recommend an alternative path.
Custom contract; refund terms are set out in your individual engagement agreement.
When you purchase a product, we grant you a non-exclusive, non-transferable, revocable license to access and use that product for your internal business purposes only. You may:

Message and data rates may apply. Consent is not a condition of any purchase. Reply STOP to opt out at any time.
By providing your email address, you consent to receive transactional and (where applicable) marketing email from us. You may unsubscribe from marketing email at any time via the link in any marketing message. We comply with the CAN-SPAM Act for all email and the TCPA for all SMS.

The Services and all content are provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The content is operator advice based on the experience of the founders running real operating companies. It is not legal advice, accounting advice, tax advice, financial advice, or medical advice. For any decision with legal, tax, financial, or regulatory implications, consult a qualified professional licensed in your jurisdiction.
We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected. Your results depend on your execution and many factors outside our control.
To the maximum extent permitted by law, in no event will Scale Lab OS LLC, its owners, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.
Our total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Scale Lab OS LLC and its owners, employees, contractors, and affiliates from any third-party claim, demand, loss, or damages (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your misuse of the Services, or (c) your violation of any law or third-party right.
You may stop using the Services and close your account at any time by emailing info@scalelabos.ai.
We may suspend or terminate your account if you violate these Terms or if continued service creates legal, security, or business risk. We will notify you when reasonably possible. Sections that by their nature should survive termination (license, disclaimers, limitation of liability, indemnification, governing law, dispute resolution) will survive.
We may update these Terms from time to time. Material changes will be posted with an updated "Last updated" date and, where appropriate, communicated by email or in-product notice. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws principles. Subject to Section 14, the state and federal courts located in Franklin County, Ohio shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.
If a dispute arises, we ask that you contact us first at info@scalelabos.ai so we can try to resolve it informally. We commit to a good-faith response within 30 days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by the courts identified in Section 13. The Ohio Consumer Sales Practices Act (Ohio Revised Code Chapter 1345) and other consumer protection statutes apply where applicable; nothing in these Terms waives any non-waivable consumer right.
